FAQs

Why choose a WY holding company?

WY keeps owners off public formation docs, has simple renewals, and plays well with a multi-state model. We use the WY entity as the owner of your SC LLC, not the operating company you transact under in SC.

Do I need to foreign-qualify in SC?

No, if you form a separate SC operating LLC owned by the WY holding company. Yes, if your WY LLC itself will transact in SC—then it must register as a foreign LLC.

Do South Carolina LLCs file annual reports?

Most SC LLCs do not file an annual report. If you elect corporate tax status (S-Corp/C-Corp), additional filings apply—we’ll include them in your compliance calendar.

Is BOI (beneficial ownership) reporting required?

As of 2025, FinCEN exempts U.S.-created entities from BOI reporting. We still document ownership internally and monitor changes for you.

Can you work with my attorney/CPA?

Yes. We’re happy to plug into your legal/tax team or introduce partners.

Bank setup?

We prepare the packet (EIN letter, Articles, OA, resolution). You choose the bank; we can join the appointment if needed.
