These Terms of Service (“Terms”) govern your use of the Ameen Systems, LLC (“Ameen Systems,” “we,” “us,” or “our”) website and services, including web development, business formation assistance, Care Plans, plugin and software products, and resume services. By engaging our services or using this website, you agree to these Terms.
1. Services We Provide
Ameen Systems provides custom website design and development, ongoing website maintenance (“Care Plans”), business entity formation assistance and registered agent services, WordPress plugins and software products, and resume and career document writing services. The specific scope of work for any project is defined in a written quote, proposal, or order confirmation provided to you before work begins.
2. Quotes, Payments & Refunds
- All projects begin with a written quote or proposal outlining scope, timeline, and price.
- One-time projects (such as Launch Packages) may require a deposit before work begins, with the remaining balance due at agreed milestones or upon completion.
- Care Plans and other recurring services are billed in advance on a monthly or annual basis and renew automatically until cancelled.
- Government filing fees, registered agent fees charged by third parties, and similar pass-through costs are separate from our service fees and are the client’s responsibility unless explicitly included in a quote.
- Refunds for work already performed are not guaranteed. Any refund requests are evaluated on a case-by-case basis.
3. Client Responsibilities
You agree to provide timely access, content, feedback, and approvals needed to complete your project. Delays in providing these items may extend project timelines. You are responsible for the accuracy and legality of any content, trademarks, or materials you provide to us for use in your project.
4. Intellectual Property
Upon full payment, you receive ownership of the final website design and custom content created specifically for your project, excluding any third-party themes, plugins, stock assets, fonts, or licensed software, which remain subject to their original licenses. Ameen Systems retains the right to display completed work in its portfolio unless otherwise agreed in writing.
Plugins and software products (such as Notice Center Pro, Adopt-A-Duck Studio, CaseFlow, and Client Desk Pro) are licensed to you for use under the terms provided at purchase and remain the intellectual property of Ameen Systems.
5. Business Formation Services: Important Disclaimer
Ameen Systems is not a law firm and does not provide legal, tax, or financial advice. Our business formation services consist of administrative and document-preparation assistance: preparing and submitting state filings, applying for an EIN, providing registered agent service, and preparing standard operating agreement templates. This is not a substitute for advice from a licensed attorney or accountant, and we encourage you to consult one for decisions specific to your situation, including entity type, tax elections, and ownership structure.
6. Care Plans
Care Plans are billed on a recurring (monthly or annual) basis and renew automatically until cancelled. You may cancel a Care Plan at any time by contacting us; cancellation takes effect at the end of the current billing period. Features and limits for each Care Plan tier are described on the Care Plans page and may be updated from time to time, with notice provided to active subscribers.
7. Limitation of Liability
To the fullest extent permitted by law, Ameen Systems’ total liability for any claim arising out of or relating to our services is limited to the amount you paid us for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, even if advised of the possibility of such damages.
8. Termination
Either party may terminate an ongoing engagement (such as a Care Plan) with written notice as described in the applicable agreement. Upon termination, you remain responsible for payment of fees for work completed and costs incurred prior to the termination date.
9. Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in South Carolina.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated “Last updated” date at the top of this page. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
